ACTVPASS – Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the ACTVPASS mobile application, website, and related services (collectively, the “Platform”). By creating an account, subscribing, purchasing Credits, booking a class, or otherwise using the Platform, you agree to these Terms.

If you do not agree, do not use the Platform.

1) Who We Are

2) Marketplace Disclaimer (Important)

ACTVPASS is a booking and payment marketplace that enables users to discover and book fitness classes and services offered by independent third-party gyms, studios, and instructors (“Studios”).

Studios are solely responsible for:

• delivering classes/services and providing facility access,

• setting and enforcing on-site rules (in addition to Platform rules),

• equipment and premises safety,

• staff behavior,

• licenses, permits, and compliance with applicable laws.

ACTVPASS does not provide medical advice and does not guarantee Studio availability or service quality.

3) Eligibility and Accounts (Including Under 18)

3.1 Age

• You must be at least 13 years old to use the Platform.

• If you are under 18, a parent/legal guardian must review and accept these Terms on your behalf and is responsible for your use of the Platform.

3.2 Account responsibility

You agree to provide accurate information (name, email, phone) and keep it updated. You are responsible for all activity under your account and for maintaining account security.

4) Subscription Plans, Billing, Auto-Renewal, and Cancellation

4.1 Monthly subscription

ACTVPASS offers recurring monthly subscription plans (“Subscriptions”) that provide Credits each month. Your plan details (price, monthly Credits, and any limits) are shown in the Platform before you subscribe.

4.2 Auto-renewal authorization

By subscribing, you authorize ACTVPASS (through our payment processor) to charge your selected payment method automatically each month unless you cancel.

4.3 Billing cycle and payment confirmation

• Your subscription renews monthly starting from the date you first subscribe (“Billing Cycle”).

• Credits for each Billing Cycle are issued only after successful payment is received and confirmed.

• If payment fails, is reversed, or is charged back, Credits may not be issued (or may be removed) and your booking access may be restricted until resolved.

4.4 Cancellation timing and effective date

You may cancel your Subscription at any time in the Platform (or via support if in-app cancellation is unavailable).
To avoid being charged for the next Billing Cycle, you must cancel before the end of your current Billing Cycle.

Unless required by law:

• cancellation stops future renewals and charges,

• cancellation becomes effective at the end of the current Billing Cycle (you keep access until then).

4.5 Plan changes and price changes

We may allow upgrades/downgrades and may change plan pricing/features. Any change rules and effective dates will be shown in the Platform and/or notified via email/Platform notice.

5) Credits (Issuance, Rollover, Accumulation, Expiry)

5.1 Credit issuance

Credits are issued either:

• monthly via Subscription after successful payment, and/or

• via one-time credit packs (if offered) after successful payment.

5.2 Rollover and accumulation

Subscription Credits roll over and accumulate in your account.

5.3 Credit expiry (1 year)

Each batch of Credits expires 1 year from the date it is issued to your account (whether from Subscription or otherwise), unless the Platform states a different expiry for a specific offer.

5.4 No cash value and non-transferable

Credits have no cash value, are generally non-transferable, and cannot be resold.

6) Payments and Processing

Payments are processed by Kashier and relevant banking partners. ACTVPASS does not store card details. Payment authorization, settlement, fraud controls, and disputes/chargebacks may be handled by the payment processor and banks.

7) Bookings, Cancellations, and No-Shows

7.1 Booking confirmation

A booking is confirmed when it appears as confirmed in your account (and/or you receive confirmation through the Platform).

7.2 Unified cancellation policy (12 hours)

• If you cancel more than 12 hours before class start time, Credits are returned to your account.

• If you cancel within 12 hours of class start time, it is a late cancellation and Credits are not returned.

7.3 Studio rules

Studios may list additional rules in their descriptions (e.g., dress code, arrival time, behavior). You must follow Studio rules when attending.

7.4 Late arrival / refusal of entry

Studios may refuse entry if you arrive late, violate Studio rules, or behave unsafely/disruptively. In such cases, Credits may be forfeited.

8) Refund Policy (Important)

8.1 Credit packs (non-refundable)

All one-time credit packs (if offered) are non-refundable.

8.2 Subscription fees (limited 14-day unused refund for the current cycle)

Subscription fees are generally non-refundable and non-prorated once a Billing Cycle begins.

Exception (14-day unused window):
You may request a refund for the current Billing Cycle charge within 14 days of the charge date only if none of the Credits issued for that Billing Cycle have been used (i.e., no booking consumption using that cycle’s newly issued Credits). If approved, we will refund that Billing Cycle and cancel your Subscription (effective immediately or end of cycle, at our discretion, depending on operational requirements).

8.3 Studio access failure (exceptional credit return)

In exceptional cases where a Studio does not allow entry despite a confirmed booking and the user meeting stated requirements, ACTVPASS may, after review, return the booking Credits to the user. In such cases, the Studio will not be paid for that booking.

8.4 Chargebacks

If you initiate a chargeback or a payment is reversed, we may suspend your account and/or remove Credits until resolved and may require reimbursement for related costs where permitted by law.

9) Health and Safety – Assumption of Risk

Fitness activity carries inherent risks (including injury). You are responsible for ensuring you are medically fit to participate and for following Studio safety instructions. To the maximum extent permitted by law, you assume all risks of participation and agree that ACTVPASS is not responsible for injuries or outcomes arising from attendance at Studios.

Studios may require additional waivers at check-in; you are responsible for reviewing and signing them.

10) Acceptable Use

You agree not to misuse the Platform, including harassment, fraud, unlawful activity, interference with systems, or attempts to access accounts/data without authorization. We may suspend or terminate accounts for violations.

11) Intellectual Property

The Platform and its content (including trademarks, branding, designs, and software) are owned by ACTVPASS or its licensors. You may not copy, modify, distribute, or reverse engineer any part of the Platform without written permission.

12) Disclaimers

The Platform is provided “as is” and “as available.” We do not guarantee uninterrupted access, error-free operation, or Studio availability. Studios are solely responsible for the services they provide.

13) Limitation of Liability

To the maximum extent permitted by law, ACTVPASS will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.

If ACTVPASS is found liable for any claim, our total liability will not exceed the total amount paid by you to ACTVPASS in the 3 months preceding the event giving rise to the claim (or the minimum amount permitted by law, if different).

Nothing in these Terms limits liability that cannot be excluded by applicable law.

14) Indemnity

You agree to indemnify and hold ACTVPASS harmless from claims and expenses arising from your misuse of the Platform, violation of these Terms, conduct at a Studio, or disputes between you and a Studio.

15) Suspension and Termination

We may suspend or terminate your account if you violate these Terms, engage in fraud, abuse refunds/chargebacks, or create risk to others or the Platform. You may stop using the Platform at any time.

16) Changes to the Platform and Terms

We may update the Platform or these Terms. If changes are material, we will provide notice via the Platform and/or email. Continued use after the effective date means you accept the updated Terms.

17) Governing Law and Dispute Resolution

These Terms are governed by the laws of Egypt. Disputes will be handled by the competent courts of [Cairo / relevant jurisdiction], Egypt, unless mandatory law requires otherwise.
